Terms and Conditions

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, platforms, products, services, reports, content, and related offerings provided by Fullintel, LLC and Fullintel Canada Inc. (collectively, “Fullintel,” “we,” “our,” or “us”), including the Fullintel Hub platform and related media intelligence services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are accessing the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Relationship to Customer Agreements

If your organization has entered into a Subscription Agreement, Master Services Agreement, Order Form, Statement of Work, or other written agreement with Fullintel, that agreement will govern your use of the Services. In the event of a conflict between these Terms and such agreement, the written agreement shall control.

3. Eligibility

The Services are intended solely for business and professional use by individuals who are at least eighteen (18) years of age.

By accessing or using the Services, you represent and warrant that you meet these requirements.

4. Authorized Users

Access to certain Services may be restricted to authorized users designated by a customer account.

You are responsible for:

• Maintaining the confidentiality of account credentials;
• Ensuring that authorized users comply with these Terms;
• Promptly notifying Fullintel of any unauthorized use of accounts or credentials.

You remain responsible for all activity conducted through your account.

5. Use of the Services

Subject to these Terms and any applicable customer agreement, Fullintel grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business purposes.

You agree not to:

• Copy, modify, distribute, sell, sublicense, or commercially exploit the Services except as expressly permitted;
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services;
• Circumvent security controls or access restrictions;
• Introduce malware, malicious code, or harmful content;
• Use the Services in violation of applicable laws or regulations;
• Interfere with the operation or security of the Services.

6. Customer Data

As between Fullintel and the customer, the customer retains ownership of all data, information, files, search queries, configurations, and other content submitted to the Services (“Customer Data”).

Customer grants Fullintel a limited right to access, process, store, transmit, and use Customer Data solely as necessary to provide, maintain, secure, and improve the Services and fulfill contractual obligations.

Fullintel does not sell Customer Data.

The collection and processing of personal information is governed by Fullintel’s Privacy Policy.

7. Intellectual Property

Fullintel and its licensors retain all right, title, and interest in and to:

• The Services;
• The Fullintel Hub platform;
• Software and technology;
• Methodologies and workflows;
• Analytics models;
• Artificial intelligence systems;
• Reports, templates, designs, and content created by Fullintel;
• Trademarks, logos, and branding.

Except as expressly granted in these Terms, no rights are transferred to users.

Fullintel®, Fullintel Hub®, and associated logos are trademarks or registered trademarks of Fullintel.

8. Media Content and Third-Party Sources

The Services may incorporate, analyze, summarize, reference, or link to content obtained from publicly available sources and licensed third-party content providers.

Ownership of third-party content remains with the applicable rights holders.

Customers are responsible for ensuring their use, distribution, and retention of reports and content complies with applicable copyright, licensing, regulatory, and contractual requirements.

9. Artificial Intelligence Features

Certain Services may incorporate artificial intelligence, machine learning, automation, and predictive analytics technologies.

AI-generated outputs are intended to assist users in identifying relevant information, trends, narratives, risks, and opportunities.

While Fullintel may review or validate certain outputs through human analysts, customers remain responsible for evaluating information and making independent business decisions.

AI-generated content should not be considered legal, financial, medical, investment, or other professional advice.

Fullintel does not use customer data to train publicly available artificial intelligence models.

10. Confidentiality

Each party agrees to protect confidential information received from the other party using reasonable care and to use such information solely for authorized business purposes.

This obligation does not apply to information that:

• Is publicly available through no fault of the receiving party;
• Was lawfully known prior to disclosure;
• Is independently developed without use of confidential information;
• Must be disclosed pursuant to legal requirements.

11. Website Content

Information presented on Fullintel websites is provided for general informational purposes only.

While Fullintel strives to maintain accurate and current information, we do not guarantee the completeness, accuracy, or timeliness of website content.

Fullintel may modify website content at any time without notice.

12. Third-Party Links

The Services may contain links to third-party websites or resources.

Fullintel does not control and is not responsible for the content, availability, privacy practices, or accuracy of third-party websites.

Access to third-party websites is at your own risk.

13. Service Availability

Fullintel will use commercially reasonable efforts to provide reliable access to the Services.

However, the Services may occasionally be unavailable due to:

• Scheduled maintenance;
• Emergency maintenance;
• Network failures;
• Third-party provider outages;
• Events beyond Fullintel’s reasonable control.

Fullintel does not guarantee uninterrupted or error-free operation of the Services.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FULLINTEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

FULLINTEL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULLINTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO THE SERVICES.

IN NO EVENT SHALL FULLINTEL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US$100), UNLESS OTHERWISE PROVIDED IN A WRITTEN AGREEMENT BETWEEN THE PARTIES.

CERTAIN JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, AND IN SUCH CASES SUCH LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Fullintel and its officers, directors, employees, affiliates, and agents from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services;
• Violation of these Terms;
• Violation of applicable law;
• Infringement of third-party rights caused by Customer Data or user actions.

17. Suspension and Termination

Fullintel may suspend or terminate access to the Services if:

• These Terms are violated;
• Use of the Services creates security, legal, or operational risks;
• Required by law.

Termination of access does not relieve any party of obligations accrued prior to termination.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Massachusetts.

19. Changes to These Terms

Fullintel may update these Terms from time to time.

Updated versions will be posted on the applicable website and become effective upon posting unless otherwise stated.

Continued use of the Services following the posting of revised Terms constitutes acceptance of the revised Terms.
